Legal framework governing heavy industrial operations, logistical commitments, and professional service excellence for Eadie’s Diva D Enterprises.
1. Service Scope & Execution
Eadie's Diva D Enterprises provides precision industrial logistics and heavy-duty infrastructure services. The specific scope of work for each engagement is defined by the Work Order or Service Agreement accepted by both parties.
- Mobilization of fleet and specialized machinery as per the agreed timeline.
- Compliance with site-specific safety regulations and federal industrial standards.
- Provision of certified operators and technical personnel for project duration.
Any adjustments to the scope requested during project execution must be documented in a signed Change Order. We reserve the right to refuse service extensions that compromise safety or equipment integrity.
2. Liability & Indemnification
Operational Limits: Our liability for any project delay or equipment malfunction is limited strictly to the total contract value of the specific service phase. We are not responsible for indirect, incidental, or consequential damages resulting from site-wide industrial shutdowns.
The Client shall indemnify and hold harmless Eadie's Diva D Enterprises against all claims, losses, and expenses arising from the Client's failure to provide accurate site data, subsurface maps, or required hazardous material disclosures.
3. Financial & Payment Terms
All pricing is quoted in USD and excludes applicable local or state taxes unless otherwise specified. Standard payment terms are NET 30. Late payments are subject to a 1.5% monthly penalty.
A mobilization deposit of 25% is required for all projects exceeding $50,000 USD. Failure to meet payment schedules may result in immediate suspension of services and withdrawal of equipment from the site.
4. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to, or use of, our services shall be instituted in a state or federal court in New Castle County, Delaware.
